Eramet announced on 12 October 2026 that the French state, acting through the Agence des participations de l'État (APE), the state's shareholding agency, will increase its stake in the company as part of a €500 million capital increase with preferential subscription rights, planned for the fourth quarter of 2026. The APE will subscribe its pro-rata share, 27.1 percent of the share capital, and buy all or part of Sorame-CEIR's preferential subscription rights, so that its effective voting rights at a general meeting do not exceed 49 percent. After the transaction the APE becomes the largest shareholder and Sorame-CEIR the second. The plan is announced; the rights issue has not launched.
The coverage led with the ranking and the voting ceiling, and both are in the release. The figure that is not there matters more. The €500 million announced is the whole rights issue, open to every shareholder. The release states no euro amount for the state's own subscription. Paris has committed to a percentage and a mechanism, not a sum. A headline that reads "€500 million from the state" adds the state's unstated leg to everyone else's.
The instrument is equity, but the decisive move is the purchase of subscription rights. A rights issue lets each holder keep pace with its stake. By buying some or all of the second holder's rights, the APE does more than defend its 27.1 percent: it acquires the other holder's ability to keep up, and with it first place. Control changes hands through the rights, not through the size of the check.
The 49 percent cap is a ceiling the state has set on itself. Paris becomes the largest shareholder while staying short of a voting majority. In the release, France's Minister for the Economy ties the agreement to the country's strategic autonomy in critical minerals and metals, and Eramet's chief executive to securing critical-metals supplies, so the purpose is stated, not inferred.
The sovereign thread is direct: the state's own shareholding agency taking primacy in a listed critical-metals group. This is capital statecraft proper, conducted through a capital-markets transaction rather than a loan or a grant.
France has settled who sits at the head of Eramet's table before saying, in public, what the seat costs.
What Would Count as an Answer
Does Eramet launch the €500 million rights issue? Answer: an Eramet release opening the subscription period. Window closes 11 November 2026.
Does a primary document state the euro amount of the state's subscription? Answer: the rights-issue prospectus or launch release giving the APE's committed amount. Window closes 11 November 2026.
What would change this read: a launch document in which the APE's subscription leaves Sorame-CEIR as Eramet's largest shareholder.
