Shanghai Guosheng (Group) Co., Ltd., wholly owned by the Shanghai State-owned Assets Supervision and Administration Commission (SASAC), has agreed to pay RMB 19,099.15 million in cash for RMB 6,127.38 million of new registered capital in Hua Hong Group. The announced terms come from Hua Hong Semiconductor Limited's notice 2026-057, which describes Hua Hong Group as its indirect controlling shareholder. The deal is subject to Shanghai SASAC approval, so it is announced, not closed.
Two numbers are in circulation and they are different objects. The cash price is RMB 19,099.15 million. The registered-capital increase across the whole round is RMB 6,147.07 million, taking Hua Hong Group's registered capital from RMB 13,521.48 million to RMB 19,668.56 million. Press reports have used the second figure as the size of the injection. The notice makes the first the price Guosheng pays. SASAC also subscribes RMB 19.69 million of registered capital in the round, and the notice does not state the consideration for that subscription: a documented silence, and a small one.
The control arithmetic is the substance. Guosheng's direct stake in Hua Hong Group rises from 15.2854 to 41.6613 percent. SASAC's direct stake falls from 51.7430 to 35.6717 percent. The largest direct holding passes from SASAC to Guosheng. Because Guosheng is wholly owned by SASAC, the two Shanghai state-owned holders together move from 67.03 to 77.33 percent, so the shift is inside the state's portfolio, not out of it. Capital is the instrument here: equity at the parent of a listed foundry, not a subsidy and not a loan.
None of this is a discovery: the cash price and the stake arithmetic are in the notice itself. The reading is a modest one. Nothing in the notice says the foundry's operations change, and nothing in it quantifies what the cash will fund. The facts support a statement about who holds the parent, not about what the parent will build.
The sovereign thread is explicit at both ends of the transaction: municipal state asset regulator, municipal state holding company, listed chipmaker. The only open question is the regulator's approval of its own subsidiary's purchase.
When the state is both the buyer and the approver, the filing that matters is not the approval but the percentage on the cap table.
What Would Count as an Answer
Does Shanghai SASAC approve the Guosheng capital increase in Hua Hong Group? Answer: a follow-up Hua Hong Semiconductor announcement stating that the approval has been obtained. Window closes 7 November 2026.
Does a company filing state the consideration for SASAC's own RMB 19.69 million subscription? Answer: a Hua Hong Semiconductor announcement or circular giving the price; the silence in notice 2026-057 ends. Window closes 7 November 2026.
What would change this read: a Hua Hong Semiconductor notice that the subscription has been withdrawn or restructured before SASAC approval.
